Terms
Reading this site costs you nothing and commits neither of us.
These are the terms for using byscorp.com. They are short because the site is a small one: it describes what we do and gives you a way to write to us. Clause 2 is the one that matters, and it protects you as much as it protects us.
What this site is
Everything on byscorp.com describes work we have done and how we like to work. None of it is an offer, a quote, a commitment to take a project, or advice you should act on without talking to us. Nothing here creates a contract and nothing here forms a client relationship.
We keep it accurate and we correct it when it is wrong, but we do not warrant that it is complete, current or free of mistakes. Availability is the same: it is a website, it will occasionally be down, and we do not promise otherwise.
Work we actually take on is governed by a signed agreement. Where that agreement and this page disagree, the agreement wins.
Writing to us, and why nothing you send is confidential
This clause protects you as much as us, so it is the one worth reading. A message sent through the form or to our address is not confidential and is not covered by any agreement, because there is not one yet. Do not send anything you would not want us to have seen: no credentials, no customer data, no trade secrets, and no idea you need to keep.
If you send us an idea, a specification or a suggestion anyway, we are free to use it. We are a small studio and we work on things that resemble one another; we cannot promise never to build something near what you described, and we will not accept an obligation we could break by accident.
If the work needs to be private, say so in one line and we will put a mutual NDA in place before you tell us anything. We have never refused.
Send only what is yours to send, and nothing unlawful. We may keep, ignore or delete what arrives.
What belongs to whom
The photographs, the wordmark, the writing, the layout and the code on this site are ours or licensed to us, and they stay that way. SCORP and the mark are our trade marks.
You may read it, print it, link to any page, and quote a passage with attribution and a link back.
You may not republish a page, reuse the photographs or the mark, serve our images from your own site, or present the work as yours.
Anything else, including scraping the site or using it to train a model, needs a yes from us first. The answer is often yes and it costs one email.
Links to other sites
Where we link to another company we are pointing at their work, not vouching for their site, their terms, or what they do with your data. Once you follow the link you are on their page and this one no longer applies.
Liability
The site is provided as it is. To the fullest extent the law allows we exclude the implied warranties of merchantability, fitness for a particular purpose and non-infringement, and we are not liable for indirect, incidental, special or consequential loss, or for lost profits or lost data, arising from your use of this site.
Where liability cannot be excluded it is capped at one hundred US dollars.
Nothing here limits liability for fraud, for fraudulent misrepresentation, or for anything else that cannot lawfully be limited. None of this clause applies to work done under a signed agreement, which carries its own terms.
Governing law
SCORP LLC is a Florida limited liability company. These terms are governed by the laws of the State of Florida without regard to its conflict of law rules, and the state and federal courts sitting in Florida have exclusive jurisdiction.
If a clause here is held unenforceable, the rest stands.
Changes to this page
We may change this page. The version that applies to you is the one published when you used the site, and the date at the foot tells you which that is.
We do not keep a changelog of a document this short. If something material changes it will be obvious on reading it.
